Terms of Service

1. Who operates Brindis
Brindis (brindis.me and app.brindis.me) is operated by Gabriel Zerbino, RUT 219521720013 (national ID 4.640.662-4), domiciled at Obligado 1131 Bis, Montevideo, Uruguay.
These Terms govern your use of the platform. For any question about them: info@brindis.me.
2. Acceptance of the terms
By creating an account or using Brindis, you accept these Terms and our Privacy Policy. If you do not agree, do not use the platform.
To use Brindis you need the legal capacity to enter into a contract. If you do so on behalf of an organisation, you represent that you are authorised to bind it.
3. What Brindis is
Brindis is a platform for creating digital invitations, managing your guest list, collecting RSVPs and organising the logistics of your event: seating, reception and communications with your guests.
Brindis is in beta. Features, pricing and availability may change, and there may be interruptions. We will tell you about changes that affect you, but we do not guarantee that the service will be uninterrupted or error-free.
4. Your account
4.1 Registration details.
You agree to provide accurate information when creating your account and to keep it up to date.
4.2 Security.
You are responsible for keeping your credentials confidential and for all activity under your account. If you detect unauthorised use, tell us at info@brindis.me.
4.3 Collaborators.
You can invite collaborators to an event and assign them a role. You remain responsible for what they do inside your events.
5. Plans, payments and credits
5.1 Free tier.
You can create your account, design your invitation and preview it at no cost and without a card.
5.2 Per-event plans.
Paid plans are purchased per event and charged once, at publication. This is not a subscription: there are no recurring charges and no automatic renewals. The applicable price is the one in force when you publish your event.
5.3 Payments.
Payments are processed by Mercado Pago and dLocal. We do not store card data.
5.4 Credits and messages.
Each plan includes an allowance of AI credits and WhatsApp messages. They are consumed as you use them, are tied to the event you bought them for, and are neither transferable nor redeemable for money.
5.5 Refunds.
If something did not work out as expected, write to info@brindis.me within 30 days of payment and we will review it case by case. Credits already consumed and messages already sent are not refundable.
6. Your content and your guest list
This is the most important section of these Terms, because it defines who answers for the data of the people you invite.
6.1 Your content is yours.
You keep every right over what you upload and create in Brindis. You grant us a limited, non-exclusive and revocable licence to host, process and display it for the sole purpose of providing you the service.
6.2 Your guest list.
When you upload the names, phone numbers or emails of other people, you are the controller of that data. Brindis acts as processor and handles it only on your instructions, as set out in section 4 of the Privacy Policy.
6.3 What you represent when uploading it.
By uploading your guests' data you represent that:
- you have a legal basis to process it;
- you are entitled to have us send communications to those people on your behalf;
- you will handle the access, rectification and deletion requests they address to you.
6.4 Indemnity.
You hold us harmless against third-party claims, fines or costs arising from data you uploaded without a legal basis, or from messages sent on your instruction through Brindis.
6.5 WhatsApp sends.
WhatsApp sends are optional: you choose whether to use them. They are a tool for distributing your invitation, not for advertising. They go through the official WhatsApp Business API using templates registered and pre-approved with Meta, and each template corresponds to a specific use — notifying someone of an invitation to an event, reminding them to confirm attendance — which is what determines the one that goes out. You do not write the message: you can adjust how it is presented, not what it says. If you enable RSVP with authentication, the access code is sent through the same channel. Every send is subject to Meta/WhatsApp policies; if one breaches them, we may suspend it without prior notice.
7. Acceptable use
You agree to use Brindis only for lawful purposes. In particular, you may not:
- send spam or communications to people who did not consent to them;
- upload unlawful or misleading content, content that infringes third-party rights, or content you have no right to use;
- attempt to access accounts, events or data that are not yours;
- subject the platform to automated load, reverse engineering, or any use that degrades the service for others.
We may suspend or close an account that breaches this section.
8. Intellectual property
The platform, its code, its brand and the templates we make available belong to Brindis or its licensors. You may use them inside the platform for your events, but not resell, redistribute or use them outside the service.
9. Service availability
We make reasonable efforts to keep Brindis available, but there may be maintenance, interruptions or changes in functionality. If we discontinue a feature you are using in an event you already paid for, we will tell you and look for an alternative or a proportional refund.
10. Cancellation and suspension
10.1 By you.
You can stop using Brindis and close your account whenever you want. Events already published and paid for keep working until their date, unless you ask us otherwise.
10.2 By us.
We may suspend or close your account if you breach these Terms, if we detect fraudulent use, or if the law requires it. Except in serious or urgent cases, we will tell you first and give you the chance to put it right.
11. Warranties and limitation of liability
Brindis is provided as is. To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages arising from the use of our services.
Our total liability for any claim related to the service will not exceed the amount you paid us in the twelve months preceding the claim.
Nothing in these Terms limits liabilities that the law does not allow to be limited, nor the rights you have as a consumer.
12. Changes to these Terms
We may modify these Terms. If the change is substantial, we will notify you by email and in the application before it takes effect. If you keep using Brindis after that date, you are taken to have accepted them.
13. Governing law and jurisdiction
These Terms are governed by the laws of the Oriental Republic of Uruguay. Any dispute will be submitted to the competent courts of Montevideo, unless the law of your country of residence gives you the right to bring a claim before the courts of your own domicile.
